SUMMARY: 

As a key member of the Legal Department team, support, manage and provide broad legal advice regarding the company’s corporate and compliance strategies and practices, including broad support for tasks related to commercial contracts, corporate transactions, compliance support, and legal entity structure.
 
 
PRIMARY RESPONSIBILITIES: 

  • Support corporate secretarial activities related to the parent company and its subsidiaries, including Boards of Directors’ meeting preparations, meeting minutes, minute books, and foreign qualification compliance. 20%
  • Provide support, research, and analysis to help ensure compliance with federal, state, and local laws as well as company policies and procedures 10%
  • Perform day-to-day compliance work for privacy regulations and related company policies and procedures. 20%
  • Assist to develop and implement a compliance program and implement related tools. 5%
  • Respond to requests for legal assistance and review, draft, and support the negotiation of various agreements (NDAs, statements of work, amendments, standard terms and conditions, service agreements, purchase contracts, etc.). 30%
  • Develop, draft, maintain and improve/update forms, templates and appropriate metrics  8%
  • Actively participate with the Legal Department and the overall business in anticipating, identifying, assessing, and managing potential legal risks. 5%
  • Perform related duties as may be assigned. 2%
 
MUST HAVE QUALIFICATIONS 
 
  •  Bachelor’s degree from an accredited college or university, a paralegal certificate or law degree from an ABA accredited school (or any equivalent combination of related experience, training, and/or education).  
  • 8 or more years of broad-based experience as a paralegal in a corporate or law firm environment. 
  • Broad working knowledge of, and experience with, substantive areas of law described within the job primary responsibilities. 
  • Strong skills in legal issue spotting, contract drafting and negotiation. Good understanding and ability to negotiate commercial and corporate transactions and resolve related legal, regulatory and commercial contractual issues. 
  •  Ability to work in a team-oriented environment and meet tight deadlines.  Demonstrated ability to work with internal and external counsel, other legal resources and senior management and business stakeholders. 
  • Must demonstrate a high degree of organizational skills, project management and professionalism.  
  • Excellent verbal and written communication skills. 
  • Excellent interpersonal skills and an ability to work with others in a team environment at all levels within the company.
  • Ability to manage confidential information and material with the highest degree of professional responsibility.

In 2023, Andersen has set a profit-sharing target of $4,000 per eligible employee, prorated as appropriate. Profit sharing will be paid out in quarterly installments to provide eligible employees with payments throughout the year, with payment amounts tied to quarterly operating profit performance.
